Hire Local Terms & Conditions
This document establishes a contract between Hire Local and the customer, detailing the terms for equipment hire or restoration services within the customer’s property.
Interpretation:
- Contract: The agreement for the Supplier to provide equipment hire and/or restoration services to the Customer.
- Customer: Any individual, firm, company, or other organization.
- Hire Goods: Any machine, tool, or device with accessories specified in the contract, hired to the Customer.
- Products: Goods sold to the Customer by the Supplier.
- Hire Period: Duration from when the Customer receives the Hire Goods (including weekends and public holidays) until their return to the Supplier.
- Liability: Includes all damages, claims, proceedings, actions, awards, expenses, costs, and any other losses or liabilities.
- Supplier: Hire Local, including its employees, agents, and authorized representatives.
- Services: Services performed by the Supplier for the Customer related to the hire of Hire Goods, including delivery and collection services.
- Force Majeure: Any event beyond reasonable control, such as natural disasters, war, strikes, etc.
Payment:
- The cost of Hire Goods and/or Services will be verbally agreed upon and confirmed in writing (typically via email) before or soon after commencement.
- Invoices are sent via email and are payable within 14 days. Preferred payment method is online banking, though cheques are accepted.
- If the Customer fails to pay on time, the Supplier may charge interest at the rate specified by law under the Late Payment of Commercial Debts (Interest) Act 1998 or at 2.5% per month, whichever is higher. Compensation for debt recovery costs may also be claimed.
- All payments due under this agreement must be made without set-off, deduction, counterclaim, or withholding.
Risk and Ownership:
- Risk for Hire Goods and Products transfers to the Customer immediately upon leaving the Supplier’s possession.
- Risk remains with the Customer until the Hire Goods are back in the Supplier’s possession, regardless of the Rental Period ending.
- Ownership of Hire Goods always remains with the Supplier; the Customer has no ownership rights. Ownership of Products remains with the Supplier until full payment is made by the Customer.
- The Customer must not deal with ownership or any interest in the Hire Goods, including selling or pledging.
Delivery, Collection, and Services:
- When providing Services, the personnel are under the Customer’s direction once instructed by the Customer. The Customer is responsible for any guidance given to these personnel and any resulting damage, except where the personnel are negligent.
- The Customer must ensure adequate access and facilities for the Supplier’s employees to perform Services.
- Delays or cancellations caused by the Customer will incur additional charges, except where a Force Majeure event occurs.
Care of Hire Goods:
The Customer must:
- Not remove or interfere with labels or mechanisms of the Hire Goods, and use them safely and correctly according to instructions.
- Notify the Supplier immediately of any breakdown, loss, or damage.
- Protect the Hire Goods from theft, damage, and other risks.
- Allow the Supplier to inspect the Hire Goods upon reasonable notice.
- Keep the Hire Goods within their possession and not take them out of the country.
- Cease use and notify the Supplier if the Hire Goods are damaged.
- Return the Hire Goods in good condition, barring fair wear and tear, and clean.
Breakdown:
- Rental allowances are made for non-use due to breakdowns caused by inherent faults or fair wear and tear, provided the Supplier is informed promptly.
- The Customer is liable for costs arising from breakdowns due to their negligence or misuse.
Loss or Damage to Hire Goods:
- The Customer is responsible for costs of repair or cleaning of damaged or unclean Hire Goods, except for fair wear and tear.
- Replacement costs for lost or irreparably damaged Hire Goods must be paid by the Customer, less any insurance payouts.
- Rental charges continue until the Supplier is notified of the loss or damage. Liquidated damages equal to two-thirds of the Rental apply until replacements are acquired.
Termination / Default:
- The contract operates on a one-week fixed term, with rolling daily hire thereafter. Either party can terminate with same-day notice after the first week.
- The Supplier may cease Services or Hire Goods in the event of default or non-payment concerns.
- Upon termination, the Customer must return Hire Goods and settle all outstanding payments immediately.
Limitations of Liability:
- The Supplier’s liability for property damage is limited to the retail replacement cost.
- Defective Hire Goods must be inspected by the Supplier before any liability is assumed.
- No liability exists if the Customer has unpaid dues.
- The Supplier must be given a chance to remedy issues before the Customer incurs costs.
- The Supplier is not liable for consequential or economic losses, special damages, or business interruptions.
- Total liability is capped at five times the amount of the Rental and charges for Services (if any) under that Contract or the sum of £1,000 whichever is higher, and extends to insurance cover where applicable.
- Liability exclusions apply separately for contract breach, tort/delict (including negligence), and statutory/common law duty breaches.
- Liability for death or personal injury due to negligence is not excluded or limited.
General:
- The Customer is responsible for actions of their employees, agents, and subcontractors.
- Unenforceable provisions do not affect the validity of the remaining contract.
